This Agreement ("Agreement") is entered into on the date of acceptance by the Client ("Client") and PayBitoPro, https://www.paybito.com/ ("Service Provider"), collectively referred to as the "Parties." The Service Provider agrees to provide services related to the listing of the Client's crypto exchange on CoinGecko under the terms and conditions set forth below:
1. Scope of Services
The Service Provider will assist the Client in submitting the required application and relevant information to CoinGecko to list the Client's crypto exchange on their platform. The Service Provider will guide the Client through the entire application process, including preparing necessary documents, submitting form applications, and communicating with CoinGecko.
2. Service Fee
The Client agrees to pay the Service Provider a non-refundable fee of $1,000 (One Thousand US Dollars) for the listing process. The payment must be made in full before the commencement of the listing service. The Service Provider will not initiate any services until payment is received.
3. Listing Process
The listing process involves several steps, which include but are not limited to:
- Initial consultation to understand the Client's requirements and exchange details.
- Collection of necessary documents, including exchange profiles, trading volume data, API endpoints, security measures, and legal compliance information.
- Preparation and submission of the application to CoinGecko.
- Ongoing communication with CoinGecko to address any queries or additional information requests.
- Regular updates to the Client on the progress of the application.
- Follow-up with CoinGecko until the final decision is made.
The estimated timeline for the listing process may vary depending on the Client's responsiveness, the complexity of the exchange, and the processing time of CoinGecko.
4. No Guarantee of Listing
The Service Provider does not guarantee the acceptance or approval of the Client's listing request by CoinGecko. The decision to list the Client's crypto exchange is solely at the discretion of CoinGecko. The Service Provider acts as a facilitator and shall not be held responsible for any rejection, delay, or decision made by CoinGecko regarding the listing request.
5. Communication & Queries
The Service Provider will respond to any queries or additional information requests made by CoinGecko during the listing process. The Service Provider will maintain communication with CoinGecko on behalf of the Client and provide regular updates on the progress of the application. The Client agrees to provide any necessary information or documents required for the listing promptly.
6. Client Responsibilities
The Client must provide accurate, complete, and up-to-date information regarding their crypto exchange, including but not limited to project details, trading volume, security measures, and legal compliance. Any false, misleading, or incomplete information provided by the Client may result in rejection by CoinGecko, for which the Service Provider will not be held liable.
The Client is also responsible for responding promptly to any additional information requests made by the Service Provider during the listing process.
7. Confidentiality
Both Parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the listing process. The Service Provider will not disclose any Client information to third parties without prior written consent, except as required for the listing process or by law.
8. Refund Policy
As the fee is charged for the listing process and not the final result, the payment is non-refundable under any circumstances. The Service Provider makes no guarantees regarding the outcome of the listing application.
9. Termination
This Agreement will terminate upon completion of the listing process or if either Party breaches any of the terms outlined herein. The Service Provider reserves the right to terminate this Agreement if the Client fails to provide necessary information, makes false claims, or engages in any fraudulent activity.
10. Governing Law
This Agreement shall be governed by and construed by the laws of your jurisdiction. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in your jurisdiction.
11. Acceptance
By making the payment, the Client agrees to the terms and conditions outlined in this Agreement. This Agreement constitutes the entire understanding between the Parties regarding the subject matter and supersedes any prior agreements or communications.
